1. Acceptance of Terms
By accessing or using VentureNex.sg (the "Platform"), you agree to be bound by these Terms of Service (the "Terms"). If you do not agree, do not use the Platform.
You may accept these Terms on behalf of a company. If so, you represent that you are authorised to bind that company.
2. Eligibility & Accounts
You must be at least 18 years old and capable of forming a binding contract. You are responsible for your account credentials and for all activities under your account.
We may require identity verification (e.g., government ID, business registration) to access certain features. Misrepresentation is prohibited.
3. Listings, Confidentiality & NDA
Sellers may create listings for opportunities (e.g., business sales, franchise transfers, asset or lease takeovers). Sellers must ensure all information is accurate and lawful.
Sensitive information (e.g., financials, customer data) may be placed behind an NDA ("NDA-Gated Content"). Buyers must agree to the NDA and receive Seller approval before access. Access may be time‑bound and is logged.
NDA-Gated Content must not be disclosed or used outside the permitted purpose without written consent from the disclosing party.
4. Fees & Payments
Unless otherwise stated, Sellers pay a 3% success fee when an offer is accepted on the Platform. We do not charge upfront listing fees. Additional optional paid features (e.g., Premium placement) may be offered.
Sellers authorise us to issue invoices and collect fees via supported payment methods. Taxes, duties, and third‑party charges are the responsibility of the paying party.
5. Prohibited Conduct
You agree not to: (a) violate laws; (b) infringe IP or privacy; (c) misrepresent your identity or affiliation; (d) circumvent NDA gates or access controls; (e) distribute malware, spam, or attempt to disrupt the Platform; (f) scrape or bulk download without written consent.
6. Privacy & Data Protection
Your use is subject to our Privacy Policy. We apply data minimisation and protect personal data in line with Singapore's PDPA principles. Do not upload personal data you are not authorised to share.
Sensitive files should be uploaded only to NDA‑gated areas and shared with approved counterparties.
7. Intellectual Property
The Platform, including software, design, and trademarks, is owned by VentureNex Pte. Ltd. or its licensors. You are granted a limited, revocable, non‑exclusive licence to use the Platform for its intended purpose.
By posting or uploading content, you grant us a non‑exclusive licence to host, display, and transmit that content for operating the Platform. You represent you have all rights necessary to grant this licence.
8. Disclaimers
The Platform is provided on an "as is" and "as available" basis. We do not warrant that listings are accurate, that transactions will complete, or that the Platform is uninterrupted or error‑free. We are not a party to transactions between users.
9. Limitation of Liability
To the maximum extent permitted by law, we shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenues, goodwill, data, or business opportunities. Our aggregate liability shall not exceed the greater of: (i) SGD 500, or (ii) the fees you paid to us in the 12 months preceding the claim.
10. Indemnity
You agree to defend, indemnify, and hold harmless VentureNex Pte. Ltd. and its officers, directors, employees, and agents from and against claims, liabilities, damages, losses, and expenses (including legal fees) arising from your use of the Platform or breach of these Terms.
11. Termination & Suspension
We may suspend or terminate access for any breach, suspected fraud, legal requirement, or risk to users or the Platform. Upon termination, your right to use the Platform ceases, but provisions that by their nature should survive will survive.
12. Governing Law & Dispute Resolution
These Terms are governed by the laws of Singapore. Parties submit to the exclusive jurisdiction of the courts of Singapore. Before filing, parties shall attempt good‑faith resolution; we may offer an evidence‑based dispute workflow.
13. Changes to Terms
We may update these Terms from time to time. Changes are effective when posted on the Platform. Your continued use after changes means you accept the updated Terms.
